New style annual return - statement of capital
During Monday's Accountancy Update in Preston, a delegate flagged a disparity between the paper and on-line versions of the new style annual return form. In section F4 the paper version refers to 'shareholders' rights whereas the on-line version refers to 'voting rights'.
The delegate has had confirmation from Companies House that the paper version of the form is incorrect.
In dealing with 'shareholders' rights', section F4 might cover voting rights, dividend rights, and distribution rights on a winding up. This might, in turn, be dealt with by reference, within the form, to the company's articles of association.
Incidentally the corresponding section of the company formation form refers to 'prescribed particulars' of shares. This can be presumably considered to mean the same as 'shareholders' rights'.

On a related note, the new
On a related note, the new on-line annual return also requires an 'update on director status'. You are asked to state (1) what the director's status is (company or person) and (2) when it changed.
In answering (2) only dates post 1 October 2009 will work - it's a software issue.
Companies House have advised me that any sensible date will do as long as it's on or after 1 October 2009.
